1. Agreement to Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you and Aurora Labs Ltd. ("Aurora Labs", "we", "us", or "our") governing your access to and use of LOCI Analytics and any related software, services, or content (collectively, the "Service"). By creating an account, accessing, or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.
2. Eligibility
You must be at least 18 years of age and capable of entering into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
3. Account Registration & Security
To access certain features of the Service you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@auroralabs.com of any unauthorised use or breach of security.
4. Subscriptions & Payments
LOCI Analytics is offered on a subscription basis. Subscription fees, billing cycles, and plan features are displayed in the Service before purchase. All payments are processed by Paddle.com Market Ltd. ("Paddle"), which acts as the Merchant of Record and reseller for purchases of the Service. By subscribing, you agree to Paddle's terms of service and authorise Paddle to charge your payment method on a recurring basis until you cancel.
We reserve the right to modify pricing at any time. Any price changes will be communicated at least 14 days in advance and will take effect at the start of your next billing period. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5. Free Tier
We may offer a free tier of the Service subject to usage limits. Free tier features are provided without warranty and may be changed, restricted, or discontinued at any time without notice. Free tier users are still bound by these Terms.
6. Acceptable Use
You agree not to, and not to permit others to:
- Copy, modify, distribute, sell, or sublicense any part of the Service;
- Reverse engineer, decompile, or disassemble the Service except as permitted by applicable law;
- Use the Service to store, transmit, or process data in violation of applicable law or third-party rights;
- Attempt to gain unauthorised access to the Service or its related systems;
- Use automated means to access the Service in a manner that exceeds reasonable usage or impairs Service performance;
- Use the Service to develop a competing product or service.
7. Intellectual Property
The Service and all content, features, and functionality (including but not limited to text, graphics, logos, software, and interfaces) are owned by Aurora Labs or its licensors and are protected by applicable intellectual property laws. These Terms do not grant you any rights in the Service other than the limited licence to use it as described herein.
You retain ownership of any data or content you submit to the Service ("User Data"). By submitting User Data, you grant Aurora Labs a limited, non-exclusive, royalty-free licence to process and store such data solely as necessary to provide the Service to you.
8. Privacy
Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference.
9. Disclaimers
The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Aurora Labs does not warrant that the service will be uninterrupted, error-free, or secure, or that defects will be corrected.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Aurora Labs or its directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with these terms or your use of the service, even if advised of the possibility of such damages.
In no event shall Aurora Labs's total liability to you for all claims arising out of or relating to these terms or the service exceed the greater of (a) the amounts paid by you to Aurora Labs in the 12 months preceding the claim or (b) USD 100.
11. Indemnification
You agree to indemnify, defend, and hold harmless Aurora Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of your violation of these Terms or your use of the Service.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason including breach of these Terms. You may cancel your subscription and close your account at any time through the Service settings or by contacting us. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination shall do so.
13. Modifications
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
14. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.
15. Miscellaneous
These Terms constitute the entire agreement between you and Aurora Labs regarding the Service and supersede all prior agreements. If any provision is found unenforceable, it will be modified to the minimum extent necessary while the remaining provisions remain in full force. Our failure to enforce any right or provision does not constitute a waiver. You may not assign these Terms without our prior written consent.
